Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the MGMT Core™ platform, website at mgmtcore.ai, and related services (together, the “Services”), provided by [LEGAL ENTITY NAME], a [STATE] [LLC/CORPORATION] (“MGMT Core,” “we,” “us,” or “our”). By booking a demo, creating an account, signing an order, paying for, or using the Services, you (“Customer” or “you”) agree to these Terms. If you accept on behalf of a business, you confirm you have authority to bind that business.

The Services are provided to businesses only and are not intended for personal, family, or household use.

1. The Services

MGMT Core provides software and specialist-supported services that help businesses manage their online reputation and visibility, including:

Visibility AI — monitoring and scoring of how your business appears in AI-generated answers and search results, competitor analysis, source identification, and citation outreach.

Listings AI — synchronization and correction of business information across directories, maps, and GPS platforms, duplicate identification, accuracy scoring, rank heatmaps, and Google Business Profile optimization.

Reviews AI — review monitoring, sentiment and keyword analysis, and review responses written by our specialists.

Onboarding, reporting, and account support as described on our website or in your order.

We may improve, modify, or discontinue features from time to time. We will not materially reduce the core functionality of a paid subscription during its current billing period.

2. Accounts and Authorization

You agree to provide accurate information and keep it current. You are responsible for all activity under your account and for keeping login credentials secure. Notify us promptly at info@mgmtcore.ai of any unauthorized access.

By connecting a Google Business Profile, directory listing, review platform, or other third-party account (“Connected Accounts”), you confirm you are authorized to manage that account and you authorize MGMT Core and its specialists to access it, publish and update business information, and post review responses on your behalf. You may revoke access at any time, which may limit the Services.

3. Subscriptions, Fees, and Payment

Pricing. The Services are priced per location. Current pricing is shown at mgmtcore.ai/pricing or in your order. A one-time setup fee applies per account.

Billing. Subscriptions are billed in advance on a monthly or annual basis, as selected. You authorize us and our payment processor to charge your payment method for all fees, applicable taxes, and fees for locations added during the term (prorated where applicable).

Automatic renewal. Subscriptions renew automatically for successive periods of the same length unless cancelled before the renewal date.

Price changes. We may change pricing with at least 30 days’ notice. Changes take effect at your next renewal.

Late payment. If payment fails, we may suspend the Services after notice until the balance is paid.

Taxes. Fees exclude taxes. You are responsible for all applicable taxes other than taxes on our income.

4. Cancellation and Refunds

There is no long-term contract. You may cancel at any time by emailing info@mgmtcore.ai or through your account. Cancellation takes effect at the end of your current paid billing period, and you will keep access until then.

Monthly plans: no refunds or credits for partial months.

Annual plans: cancellation stops the next renewal. Annual fees are prepaid at a discounted rate and are non-refundable, except where required by law.

Setup fees are non-refundable once onboarding has begun.

Removing a location takes effect at the end of the current billing period for that location.

5. Your Responsibilities and Acceptable Use

You agree that you will not, and will not ask us to:

You are responsible for the accuracy of information you give us, for approving brand voice guidelines, and for compliance with laws and regulations specific to your industry (for example, healthcare privacy rules in responses to patient reviews). Do not provide us protected health information unless we have signed a separate written agreement covering it.

We may decline to post content, or suspend Services, if we reasonably believe a request or use violates these Terms, applicable law, or platform policies.

6. Third-Party Platforms and No Guaranteed Results

The Services interact with platforms we do not control, including Google, Apple Maps, Yelp, directories, review sites, and AI systems such as ChatGPT, Gemini, Perplexity, Claude, Grok, and Google AI Overviews. These platforms set their own rules, may change or reject submissions, and may change how they rank or display information at any time.

Accordingly, we do not guarantee any specific search ranking, map position, AI mention or recommendation, review rating, review removal, listing acceptance, citation placement, traffic, or revenue outcome. Scores, heatmaps, and visibility metrics are estimates based on sampled data at a point in time. Your use of third-party platforms is subject to their terms.

7. AI-Generated Content

The Services use artificial intelligence to analyze data and assist in drafting content. AI output may be inaccurate or incomplete. Our specialists review content before posting, but you are responsible for reviewing reports and recommendations before relying on them, and for notifying us promptly of any response or listing change you want corrected.

8. Customer Data and Privacy

“Customer Data” means information you or your Connected Accounts provide to us. You own your Customer Data. You grant us a limited license to use it to provide, secure, and improve the Services. We may use aggregated, de-identified data for analytics and benchmarking, provided it does not identify you or any individual.

Our collection and use of personal information is described in our Privacy Policy. We use reasonable administrative, technical, and physical safeguards to protect Customer Data. Publicly available information, such as published reviews and listings, is not confidential.

9. Intellectual Property

We and our licensors own the Services, software, reports templates, AI models, and all related intellectual property, including the MGMT Core™ and Core AI Engines™ names. Subject to these Terms and payment of fees, we grant you a limited, non-exclusive, non-transferable right to use the Services for your internal business purposes during your subscription.

You retain ownership of your trademarks and content. You grant us permission to use them solely to provide the Services. Reports delivered to you may be used by you for your internal business purposes. If you send us feedback, we may use it without obligation.

Unless you opt out by emailing info@mgmtcore.ai, we may identify you as a customer by name and logo in our marketing materials.

10. Confidentiality

Each party will protect the other’s non-public business information with reasonable care, use it only to perform under these Terms, and not disclose it except to employees and contractors who need to know it and are bound by similar obligations, or as required by law.

11. Disclaimer of Warranties

EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR PRODUCE ANY PARTICULAR RESULT.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, OR DATA, EVEN IF ADVISED OF THEIR POSSIBILITY. OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE FEES YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

These limits do not apply to your payment obligations, your indemnification obligations, or a party’s gross negligence, willful misconduct, or fraud.

13. Indemnification

You will defend, indemnify, and hold harmless MGMT Core and its affiliates, officers, employees, and contractors from third-party claims, losses, and expenses (including reasonable attorneys’ fees) arising from your Customer Data, your business information, your breach of these Terms, your violation of law or platform policies, or content we post at your direction or with your approval.

14. Suspension and Termination

We may suspend or terminate the Services immediately if you materially breach these Terms, fail to pay after notice, or use the Services in a way that creates legal or security risk. Either party may terminate if the other becomes insolvent. On termination, your right to use the Services ends and fees already paid are non-refundable except as stated in Section 4.

You may request an export of your reports within 30 days after termination, after which we may delete Customer Data in line with our retention practices. Sections 3 (for unpaid fees) and 6 through 17 survive termination.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law rules. Before filing any claim, the parties will try in good faith to resolve the dispute by contacting each other in writing for at least 30 days. Any unresolved dispute will be brought exclusively in the state or federal courts located in [COUNTY], Wyoming, and each party consents to their jurisdiction. Each party waives any right to a jury trial and to participate in a class or representative action, to the extent permitted by law.

16. Changes to These Terms

We may update these Terms from time to time. We will post the updated version on this page with a new effective date and, for material changes, notify active customers by email at least 30 days in advance. Continued use of the Services after the effective date means you accept the updated Terms.

17. General

These Terms, together with any order form and our Privacy Policy, are the entire agreement between the parties about the Services. If an order form conflicts with these Terms, the order form controls for that order. If any provision is unenforceable, the rest remains in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays caused by events beyond its reasonable control. We are independent contractors. Notices to us must be sent to info@mgmtcore.ai.
